Kentucky Annual Report Reminder

Kentucky Annual Report Reminder

February 06, 2023

All LLCs doing business in Kentucky must file an Annual Report every year.  You need to file an Annual Report in order to keep your LLC in compliance and in good standing with the state. Reports can be filed any time between January 1 and June 30 by either:

  • Returning the annual report postcard you receive via the United States Postal Service;
  • Filing your annual report online; or
  • Printing your annual report and returning it by mail or in person.

We recommend filing online since it’s easier and the processing time is quicker.

Fee
$15 for both filing by mail and filing online.

Due Date
Your Kentucky LLC Annual Report is due every year between January 1st and June 30th.

Penalty
If you don’t file your Annual Report by June 30th, the state will administratively dissolve your LLC. If a business fails to file its annual report by June 30, it falls into bad standing with the office and receives a final 60-day notice. Failure to comply with the 60-day notice results in administrative dissolution of the business or revocation of authority to do business in Kentucky.

Reminders
The Secretary of State will mail you a postcard between January and February. The postcard will be sent to the principal office address of your LLC.

Note: You cannot change your LLC’s principal office address or Registered Agent via the Annual Report. You need to file a Statement of Change of Principal Office or Statement of Change of Registered Agent and Office to change them.
